Terms of Service

These Terms of Service ("Terms") govern your access to and use of Devicet ("Devicet", "we", "us", or "our").

By creating an account or using Devicet, you agree to these Terms. If you do not agree with these Terms, you must not use the Service.

1. About Devicet

Devicet is an online platform that helps clients discover independent web developers and compare the services and prices they offer.

Developers may create profiles, publish portfolios, describe their services, set their own prices, and receive project or quote requests from clients.

Clients may browse developer profiles, configure projects based on a Developer's listed services, view estimated prices, and submit requests to Developers.

Devicet is a platform and intermediary only. Devicet is not a developer, employer, contractor, agent, or representative of any Developer and is not a party to any agreement between a Client and a Developer.

Any agreement for development services is solely between the Client and Developer.

Devicet does not supervise, control, or guarantee the services provided by Developers.

2. Accounts

You may create an account using an authentication method made available by Devicet, including Google or GitHub.

You are responsible for providing accurate information and for maintaining the security of your account.

You must not:

  • impersonate another person or organization;
  • create an account using another person's identity or credentials;
  • provide false or misleading information;
  • use another person's account without permission; or
  • create accounts for fraudulent or abusive purposes.

Developer accounts

Developer accounts may only be created through the designated Developer registration flow.

A Developer account allows you to publish services, pricing, portfolio information, and other information intended for prospective Clients.

The account role selected when the account is created cannot normally be changed through the Service. Devicet may modify or terminate an account where reasonably necessary for security, legal compliance, or correction of an error.

3. Developer Listings and Pricing

Developers are solely responsible for the accuracy and legality of the information they publish on Devicet.

This includes:

  • service descriptions;
  • prices;
  • estimated delivery times;
  • technical capabilities;
  • portfolio materials;
  • availability; and
  • other information presented to Clients.

A price displayed on Devicet is a price or estimate provided by the Developer.

Unless expressly stated otherwise by the Developer, a displayed estimate does not by itself constitute a binding contract or guarantee that the Developer will accept a project.

Developers must not list services that are illegal, fraudulent, deceptive, or that they do not genuinely intend or are reasonably able to provide.

Devicet may remove or restrict listings that violate these Terms or applicable law.

4. Quote Requests and Agreements

A Client may submit a quote or project request to a Developer based on the Developer's listed services.

Submitting a request does not automatically create a contract between the Client and Developer.

A contract exists only if the Client and Developer separately agree to the relevant terms of their project.

Clients and Developers are responsible for determining the final scope of work, price, delivery schedule, revisions, intellectual-property rights, warranties, and any other contractual terms.

Devicet is not responsible for the content or enforcement of any agreement between a Client and Developer.

5. Payments

Devicet does not currently process, hold, transmit, or guarantee payments between Clients and Developers.

If a Client and Developer agree to proceed with a project, they are solely responsible for arranging payment between themselves using a payment method they mutually agree upon.

Devicet does not receive or hold funds on behalf of either party and does not have control over whether a payment is made.

Devicet is not responsible for:

  • non-payment;
  • late payment;
  • refunds;
  • chargebacks;
  • payment disputes;
  • taxes;
  • bank fees;
  • payment-provider fees; or
  • any other issue arising from a payment arrangement between a Client and Developer.

6. Client Responsibilities

Clients must provide accurate information when submitting quote or project requests.

Clients must not:

  • submit fraudulent or misleading requests;
  • intentionally waste a Developer's time with requests they have no genuine interest in pursuing;
  • use Devicet to solicit illegal services;
  • impersonate another person or organization; or
  • use Devicet to harass, spam, threaten, or abuse Developers.

Clients are responsible for reviewing a Developer's profile, services, pricing, and any final agreement before committing to a project.

7. Developer Responsibilities

Developers are independent service providers and are solely responsible for their own work and business activities.

Developers are responsible for:

  • providing accurate information;
  • honoring agreements they enter into with Clients;
  • complying with applicable laws and regulations;
  • determining and handling their own taxes and business obligations; and
  • obtaining any licenses, permissions, or qualifications required to provide their services.

Devicet does not represent that any Developer is qualified, licensed, insured, or legally permitted to provide a particular service unless Devicet expressly states otherwise.

8. User Content

Users may submit or publish content including names, descriptions, portfolio materials, images, logos, links, service information, and other materials ("User Content").

You remain responsible for your User Content and represent that you have the necessary rights and permissions to submit it.

You must not upload or publish content that:

  • infringes another person's intellectual-property rights;
  • contains malicious code;
  • is fraudulent or deceptive;
  • is unlawful;
  • contains another person's private information without authorization; or
  • violates these Terms.

By submitting User Content to Devicet, you grant Devicet a limited, non-exclusive license to host, store, reproduce, display, and distribute that content as reasonably necessary to operate, maintain, and promote the Service.

This license does not transfer ownership of your User Content to Devicet.

Devicet may remove or restrict User Content where reasonably necessary to enforce these Terms, comply with applicable law, protect users, or protect the Service.

9. Prohibited Conduct

You must not use Devicet to:

  • engage in illegal, fraudulent, or deceptive activity;
  • impersonate another person or organization;
  • infringe intellectual-property or other rights;
  • distribute malware or malicious code;
  • attempt to gain unauthorized access to Devicet or another user's account;
  • interfere with the operation or security of the Service;
  • scrape, crawl, copy, or systematically collect data from Devicet without permission;
  • send spam or unsolicited bulk communications;
  • harass, threaten, or abuse other users;
  • manipulate listings, requests, ratings, or other platform features;
  • circumvent technical restrictions or security measures; or
  • use Devicet in a manner that could reasonably harm the Service or its users.

10. Communications Between Users

Where Devicet provides features that allow Clients and Developers to communicate, users are responsible for the content of their communications.

Users must not use communication features for harassment, spam, fraud, illegal activity, or other prohibited conduct.

Devicet may take reasonable measures to investigate reports of abuse, protect users, maintain security, and comply with legal obligations.

11. Moderation and Enforcement

Devicet may investigate suspected violations of these Terms.

Where appropriate, Devicet may:

  • remove or restrict content;
  • limit access to features;
  • suspend an account;
  • terminate an account; or
  • take other reasonable measures necessary to protect the Service and its users.

Where reasonably practicable and appropriate, Devicet may provide notice of significant enforcement actions and information about available review or appeal procedures.

Nothing in this section prevents Devicet from taking immediate action where necessary to address security threats, illegal activity, fraud, or other urgent risks.

12. Account Termination

You may stop using Devicet at any time.

Devicet may suspend or terminate an account where it reasonably believes that the user has violated these Terms, applicable law, or the security or integrity of the Service.

Termination does not automatically cancel or resolve agreements that a Client and Developer may have entered into independently.

Provisions that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, and disputes, will continue to apply where permitted by applicable law.

13. Availability and Changes to the Service

Devicet is provided on an "as available" basis.

We may modify, suspend, or discontinue parts of the Service from time to time, including for maintenance, security, technical, or other legitimate reasons.

We do not guarantee that Devicet will always be available, uninterrupted, secure, or error-free.

14. No Guarantee of Developer Services

Devicet does not guarantee that:

  • a Developer will respond to a request;
  • a Developer will accept a project;
  • a Developer will complete a project;
  • a listed price will remain unchanged;
  • a Developer's work will meet a Client's expectations; or
  • a project will be completed within a particular timeframe.

Clients are responsible for evaluating Developers and deciding whether to enter into an agreement with them.

15. Disclaimers

To the fullest extent permitted by applicable law, Devicet provides the Service without warranties except where a warranty cannot legally be excluded.

Devicet does not guarantee the accuracy, completeness, reliability, or availability of information supplied by users.

Nothing in these Terms excludes or limits any liability, right, or protection that cannot lawfully be excluded or limited under applicable law.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Devicet will not be responsible for losses arising solely from:

  • agreements between Clients and Developers;
  • the acts or omissions of Developers or Clients;
  • the quality, legality, delivery, or outcome of Developer services;
  • payments arranged directly between Clients and Developers; or
  • User Content submitted by users.

Devicet will not be liable for indirect, incidental, special, consequential, or similar damages to the extent such limitation is permitted by applicable law.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

17. Privacy

Your use of Devicet is also subject to our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information.

The Privacy Policy is available at: devicet.app/privacy.html

The Privacy Policy forms part of your relationship with Devicet but does not replace these Terms.

18. Intellectual Property

Devicet and its original software, branding, design, logos, text, graphics, and other materials are owned by or licensed to Devicet and are protected by applicable intellectual-property laws.

Except where permitted by law or expressly authorized by Devicet, you may not copy, modify, distribute, sell, reverse engineer, or otherwise exploit Devicet's proprietary materials.

User Content remains subject to Section 8.

19. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we will take reasonable steps to notify users where appropriate.

The updated Terms will become effective on the date stated at the beginning of the revised Terms.

Your continued use of Devicet after the effective date means that you accept the updated Terms, to the extent permitted by applicable law.

20. Governing Law and Disputes

These Terms are governed by the laws of Greece, except where mandatory applicable law provides otherwise.

Nothing in these Terms removes or limits rights that users may have under mandatory consumer-protection or other applicable laws.

Any dispute concerning Devicet will be handled by the courts or dispute-resolution mechanisms that have jurisdiction under applicable law.
